End-User License Agreement

1. What this software is

PALS Accounting is internal software built and operated by PALS for its own bookkeeping. It connects to the single QuickBooks Online company file that PALS owns, and it exists so that routine accounting work — categorising bank transactions, preparing journal entries, assembling month-end reports — can be prepared automatically for a human to review and approve.

2. Who may use it

Use is limited to PALS employees and contractors acting for PALS. The software is not sold, licensed, distributed, or made available to any other organisation or to the public, and it has no other users. No account can be created in it.

3. Licence

PALS grants its own authorised personnel a non-exclusive, non-transferable, revocable licence to use the software for PALS business purposes only. All rights not expressly granted are reserved. The software may not be copied, sold, sublicensed, reverse-engineered, or used for any purpose other than PALS's own accounting.

4. What it does with data

The software reads and writes PALS's own accounting records in PALS's own QuickBooks Online company. It does not transmit that data to any third party, does not sell or share it, and does not use it to train anything. See the accompanying Privacy Policy.

5. Human approval

The software does not move money. It prepares proposed entries; a person at PALS reviews and approves every posting, payment, and filing.

6. Intuit

Use of the software involves Intuit's QuickBooks Online API and is subject to Intuit's own terms. Intuit is not a party to this agreement, does not endorse this software, and has no liability arising from it.

7. No warranty

The software is provided “as is”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. PALS does not warrant that it will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, PALS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of the use of the software.

9. Termination

PALS may modify, suspend, or discontinue the software at any time, and may revoke any person's access at any time, without notice.

10. Governing law

This agreement is governed by the laws of the State of Illinois, without regard to conflict-of-laws principles.
